Terms of Service
1. Acceptance of Terms
By creating an account on Steady Clinical ("the platform," "we," "our"), you agree to be bound by these Terms of Service, our Privacy Policy, and our Business Associate Agreement (collectively, the "Agreement"). If you do not agree to these terms, do not use the platform. We reserve the right to update these terms at any time. We will notify registered users of material changes via email. Continued use of the platform after changes constitutes acceptance of the revised terms.
2. Eligibility and Provider Verification
Steady Clinical is designed exclusively for licensed mental health professionals and individuals working under the supervision of a licensed professional whose scope of practice includes the provision of therapy. The platform is not intended for use by patients, consumers, or individuals who do not hold an active clinical license or supervised practice arrangement.
By using the platform, you represent and warrant that you:
- Hold a valid license to practice mental health services in your jurisdiction (e.g., LPC, LCSW, LMFT, Licensed Psychologist), or are actively working toward licensure under the supervision of a licensed professional (e.g., LPC-A, LCSW-A, LMFT-A)
- Have a scope of practice that includes the provision of psychotherapy or counseling
- Are at least 18 years of age
As part of the registration process, we require submission of your professional license credentials (license type, number, and state). We reserve the right to independently verify your licensure status and to deny, suspend, or terminate access if we are unable to verify your credentials or if your license lapses, is revoked, or is subject to disciplinary action.
3. Beta Program
Steady Clinical is currently in a beta testing phase. By participating in the beta program, you acknowledge and agree that:
- The platform is under active development and may contain bugs, errors, or incomplete features
- Features may be added, modified, or removed without prior notice
- Service availability is not guaranteed; the platform may experience unplanned downtime
- Beta pricing, including promotional codes, is temporary and subject to change upon general availability
- We may contact you for feedback regarding your experience with the platform
- The platform is nonetheless subject to the same privacy and security protections described in this Agreement, our Privacy Policy, and our Business Associate Agreement
4. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication (MFA) devices
- All activity that occurs under your account
- Notifying us immediately at reese@steadyclinical.com if you suspect unauthorized access to your account
- Ensuring that your use of the platform complies with all applicable laws, regulations, and professional ethical codes
You may not share your account credentials with others or allow others to access the platform through your account. Each account is for a single licensed professional.
5. Email Communications
By creating an account, you agree to receive product-related emails from Steady Clinical, including onboarding guidance, feature updates, and service announcements. These emails are part of the service you signed up for. You may unsubscribe from non-essential emails at any time using the unsubscribe link in any email. We will always retain the ability to send transactional emails related to your account (e.g., billing confirmations, security alerts).
6. SMS Communications
If you provide your phone number and opt in to receive SMS messages, you agree to the following:
- Purpose: We send SMS messages solely for account security purposes, including multi-factor authentication (MFA) verification codes. We do not send marketing messages via SMS.
- Frequency: Message frequency varies based on your login activity. You will receive one SMS per login attempt that requires MFA verification.
- Costs: Message and data rates may apply depending on your mobile carrier and plan.
- Opt-out: You may opt out of SMS messages at any time by replying STOP to any message. If you opt out, you may be unable to complete MFA verification and access your account. To re-enable SMS, reply START.
- Help: Reply HELP to any message for assistance, or contact us at reese@steadyclinical.com.
- No PHI via SMS: We never send Protected Health Information, clinical content, or client data via SMS. SMS messages contain only numeric verification codes.
- Carrier liability: Neither Steady Clinical nor your mobile carrier is liable for delayed or undelivered messages.
If you provide a phone number, you confirm that it is your own and that you are authorized to receive SMS messages at that number. You agree to notify us promptly if your phone number changes.
7. Subscription and Billing
Access to Steady Clinical requires a paid subscription. By subscribing, you agree to the following:
- Plans: We offer a single subscription plan ("Steady") available at monthly or annual billing intervals. Current pricing is displayed at the time of checkout.
- Payment processing: Payments are processed by Stripe, Inc. You agree to Stripe's terms of service. We do not store your full payment card information on our servers.
- Automatic renewal: Subscriptions renew automatically at the end of each billing period. You will be charged the then-current rate unless you cancel before the renewal date.
- Cancellation: You may cancel your subscription at any time through the platform's settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period.
- Promotional codes: Promotional pricing is subject to the terms specified at the time of redemption. Promotional discounts may have expiration dates and are non-transferable.
- Failed payments: If a payment fails, we may suspend access to the platform until payment is successfully processed. We will attempt to notify you before suspension.
8. Acceptable Use and Prohibited Conduct
You agree to use Steady Clinical only for its intended purpose: reflective clinical consultation, case conceptualization, and professional development between sessions. You may not:
- Use the platform to provide direct care, diagnosis, or treatment to patients
- Use the platform for time-critical clinical decisions, including but not limited to situations involving active suicidality, homicidality, domestic violence, acute psychosis, or other imminent safety concerns (see Section 9a)
- Allow patients or non-clinicians to access or interact with the platform
- Attempt to reverse-engineer, decompile, or extract the platform's source code or AI models
- Use the platform to generate content that is harmful, misleading, or unethical
- Circumvent security features, rate limits, or access controls
- Use automated scripts, bots, or scrapers to access the platform
- Resell, sublicense, or redistribute access to the platform
9. AI-Generated Content Disclaimer
Steady Clinical is a clinician-facing tool. It does not interact with, provide recommendations to, or deliver care to patients. All content generated by Steady Clinical is advisory and educational only and is intended to enhance, inform, and support your clinical thinking, not replace it. The platform provides recommendations and perspectives, not directives. You acknowledge and agree that:
- AI-generated responses are not diagnoses, treatment plans, or clinical directives. They are perspectives and frameworks intended to support your independent clinical reasoning
- You, as the licensed clinician, hold full professional responsibility for all clinical decisions
- You will not rely primarily on AI output as the basis for diagnosis, treatment planning, or any clinical action
- You will independently review the basis for any AI-generated recommendations — including the frameworks applied, clinical inputs referenced, and reasoning provided — and exercise your own professional judgment before applying them in any clinical context
- AI-generated content may contain errors, omissions, or inaccuracies
- Steady Clinical does not guarantee the clinical accuracy, completeness, or appropriateness of any AI-generated content
9a. Time-Critical and Emergency Situations
Steady Clinical is designed for reflective clinical consultation and is not intended for use in time-critical decisions or emergency situations. You acknowledge and agree that:
- The platform must not be used as a resource during active clinical emergencies, including but not limited to situations involving active suicidality, homicidality, domestic violence, acute psychosis, or other imminent risk to safety
- In any time-critical or emergency situation, you must rely on your professional judgment, direct human consultation (e.g., clinical supervisors, crisis teams, emergency services), and established emergency protocols
- The platform is not a substitute for clinical supervision, crisis consultation, peer consultation, or emergency services
- You accept full responsibility for recognizing when a clinical situation requires immediate human intervention rather than AI-assisted consultation
10. PHI, HIPAA, and Business Associate Agreement
As a therapist using Steady Clinical, you are typically a covered entity (or an employee or contractor of one) under the Health Insurance Portability and Accountability Act ("HIPAA") and the Health Information Technology for Economic and Clinical Health Act ("HITECH Act"). Steady Clinical, LLC operates as a Business Associate under HIPAA.
Your use of the platform is governed by our Business Associate Agreement (BAA), which is available at /baa and is accepted digitally during account setup. The BAA sets forth the terms under which we may receive, create, maintain, and transmit PHI on your behalf.
You acknowledge that:
- You accepted the BAA digitally during account creation, and a copy is available at /baa for your records
- You are responsible for obtaining appropriate consent from your clients regarding the use of AI-assisted tools in their care, as required by applicable law and professional ethical codes
- You will comply with all applicable HIPAA and HITECH Act requirements as the covered entity
- You are responsible for determining what information constitutes PHI and for applying the minimum necessary standard when entering information into the platform
- The platform automatically de-identifies client names in AI processing by replacing them with generic references (e.g., "the client"), but this does not relieve your obligation to minimize PHI entered
- In the event of a conflict between these Terms and the BAA, the BAA shall control with respect to matters relating to PHI

11. Intellectual Property
The platform, including its design, code, AI models, prompts, and branding, is the intellectual property of Steady Clinical, LLC. You retain ownership of the clinical content you create and input into the platform. By using the platform, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the platform's services to you.
We do not use your individual clinical content to train AI models. AI processing is performed via Amazon Web Services (AWS) Bedrock, which does not use customer inputs for model training or improvement.
12. Indemnification
You agree to indemnify, defend, and hold harmless Steady Clinical, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the platform
- Your clinical decisions, whether or not informed by AI-generated content
- Your breach of these Terms of Service or the BAA
- Your violation of any applicable law, regulation, or professional ethical code
- Your failure to obtain appropriate client consent for the use of AI-assisted tools
- Any claim by a third party related to your professional practice
13. Limitation of Liability
To the fullest extent permitted by law:
- Steady Clinical is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied
- We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, loss of profits, or professional liability
- Our total aggregate liability to you for any claims arising from or related to these terms or the platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim
- These limitations apply to the fullest extent permitted by law, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise
You acknowledge that clinical decisions are solely your responsibility and that Steady Clinical bears no liability for clinical outcomes.
14. Termination
You may close your account at any time through the platform's settings or by contacting us. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these terms. Upon termination:
- Your access to the platform will be revoked
- Any active subscription will be canceled; no refund will be issued for the remaining billing period
- You may request export or deletion of all associated data in accordance with our Privacy Policy
- We will return or destroy PHI in accordance with the BAA
- Provisions that by their nature should survive termination (including Sections 9, 9a, 10, 11, 12, 13, 15, and 16) will remain in effect
15. Dispute Resolution
In the event of any dispute arising under or in connection with these Terms:
- Informal resolution: Before initiating any formal proceeding, you agree to contact us at reese@steadyclinical.com and attempt to resolve the dispute informally for at least thirty (30) days
- Governing law: These terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles
- Jurisdiction: Any disputes that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Hamilton County, Tennessee. You consent to the personal jurisdiction of such courts
- Class action waiver: You agree to resolve disputes with us on an individual basis and waive the right to participate in any class action, class arbitration, or representative proceeding
- Limitation period: Any claim arising under these terms must be filed within one (1) year after the claim arises, or it is permanently barred
16. General Provisions
- Entire Agreement: These Terms of Service, together with the Privacy Policy and the BAA, constitute the entire agreement between you and Steady Clinical, LLC regarding your use of the platform
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect
- Waiver: Our failure to enforce any provision of these terms shall not constitute a waiver of that provision
- Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction
- Notices: We may provide notices to you via the email address associated with your account. You are responsible for keeping your email address current
